This role in the Group Corporate Development team helps to ensure that the Group's capital resources are managed in an effective way, generating value to the Group and supporting the Board in managing the Bupa portfolio of businesses in accordance with the strategy.

It includes supporting the development of inorganic capabilities across the organisation; including a strategically prioritised M&A and strategic partnership pipeline, a robust decision making framework and process. As part of this, leading multi-disciplinary transactions designed to generate capital capacity for the group.

As our Corporate Development Manager you'll utilise your extensive deal advisory experience and will be responsible for ensuring an appropriate Group governance process for capital deployment is in place and that all investment transactions are conducted in line with appropriate policy and guidance. In addition, you will need to develop the management actions framework to ensure we have levers for creating additional capital capacity.

Accountabilities and Activities

A new Group strategy has placed greater emphasis on overall portfolio performance with an expectation that the return on the Group's capital base improves significantly through rigorous portfolio analysis, effective capital management, organic and inorganic actions. As all of our profits are reinvested into the customer; this role will play a key role in leading the strategic recommendations on where those profits are reinvested.

The role will support the Heads and Directors of Corporate Development to identify and qualify opportunities for acquisition, divestment and capital optimisation. This includes views on financial impact analysis, macroeconomics, market trends, competitor insights and potential disruptors.

Other accountabilities for this role include:

  • Working on multi-disciplinary transactions designed to generate value for the group.

  • Developing key relationships across Market Units and Group Functions to support the development and delivery of value-adding projects and analysis

  • Continuously improve the transaction pipeline, capital capacity, regulatory solvency and liquidity management information provided to the Board, CEC and FET through enhanced visualisation, focussed information and succinct narrative.

  • Influence and enhance capital allocation decisions supporting growth and business turnaround objectives.

  • Assess the performance of invested capital through both acquisitions and capital expenditure projects and identify key learning's for the future

  • Ensure that all M&A is conducted in line with policy and guidance

  • Lead on the Group governance process for M&A, including:

  • + Detailed review and challenge of the valuation cases of M&A transactions and capex projects;
    + Support co-ordination for due diligence support across the Group;
    + Drafting briefing papers to the CEC and Board;
    + Ongoing development of materials to assist the group in prioritising M&A options, and to ensure that the MU business development teams are applying a consistent approach to the governance process;
    + Responsible for maintaining appropriate formal documentation and communicate for each part of the governance process;
    + Performing post acquisition and investment reviews; and
    + Overseeing capital funding transactions working with other Group functions such as Tax, Treasury and Company Secretarial as well as Market Unit and Business Unit teams
    + Ensure completeness and compliance with relevant policies and risk-reporting against these.

  • Performing group capital analysis activities including ROCE, WACC, stress & scenario testing (SST), portfolio analysis, business valuations and capital optimisation.

  • Responsible for ensuring adequate controls are in place to monitor and track the deployment of capital within the Group

  • Ensuring we have capital, regulatory solvency and liquidity forecasting processes and controls in place to detect and act on any variation against plan in conjunction with ongoing management information.

    The role holder will likely be a qualified Chartered Accountant or Chartered Financial Analyst. Previous M&A or capital management experience either in a corporate function or from an advisory background would be beneficial.

  • We are looking for a candidate with strong understanding of key financial metrics and their underlying performance levers in a healthcare or insurance environment. Previous experience of working with CFOs and other finance executives is essential.
    The jobholder will be able to demonstrate:
  • Professional qualification (CIMA, ACCA, ACA, CFA) or equivalent experience

  • Ability to act as a change agent and champion change throughout the team.

  • Strong practical commercial experience with an understanding of Bupa's marketplace.

  • Excellent communication skills, including preparation of executive presentations

  • Advanced abilities to interact with and influence at senior levels, including Executive Officers and Boards.

  • Strong project management skills

  • Excellent decision making and judgment skills.

  • Ability to adapt to changing and ambiguous situations

  • Ability to work effectively in a time-pressured and constantly changing environment

  • Strong analytical skills, with the ability to search out relevant information and explanations

  • Advanced Microsoft Office skills (in particular Excel)

  • Highly organised and flexible approach to work
