Full Job Description
Working under the supervision of a senior counsel, this position enhances attorney effectiveness by providing contract review, claims, litigation support and company secretarial support.
Principal Job Duties & Responsibilities
- Review, draft and negotiation of commercial agreements, NDA's, services, supply and/or purchase agreements, licensing agreements and other contracts of low to moderate complexity in support of the business.
- Summarize and communicate key contract terms and other legal documents to managers in the business.
- Provide research, opinions, and advice concerning legal rights, remedies, and obligations of the company and its subsidiaries.
- Prepare and review documents related to general corporate and litigation.
- Review documents related to company secretarial matters and provide direction.
- Draft correspondence and assure communication and timely responses to and from outside attorneys, company staff, and insurance carriers.
- Research and analysis of law, preparation of briefs, and assist with strategy development.
- Draft original documents for negotiations of low to moderate complexity.
- Develop standard documents.
- Act as a company representative when requested.
- Prepare draft documents and complete the necessary forms for company filings, procedural compliance, licensing, recording, and other official actions for domestic and foreign operations.
- Perform legal research and verification by specific assignment from attorneys.
- Analyze and make independent recommendations regarding solutions to problems with low to moderate complexity in accordance with organization and/or project objectives and guidelines.
- Organize and prioritize a variety of projects and multiple tasks in an effective and timely manner, set priorities, and
- Plan and organize own work assignments, as well as
- Maintain compliance with all applicable policies, procedures, and global standards.
